GENERAL
TERMS AND CONDITIONS of RP software
§ 1 Scope
Our
orders are executed only for the following terms and conditions. Different
conditions of the customers we do not accept it unless we have expressly
confirmed in writing their application.
§ 2 Contract
conclusion and resignation
We
commit ourselves to the customer's order to accept the conditions contained on
our website. The
scope of delivery of our written order confirmation is essential, which is sent
by e-mail. With
writing, printing or calculation errors on our website, we are entitled to
withdraw.
§ 3
Prices
Is relevant,
unless otherwise control our order confirmation. The
above prices are for delivery in electronic format to the customer's specified
e-mail delivery address. Value
Added Tax, applicable sales tax will be charged
additionally.
§ 4 Time,
delay
The
delivery of the software or the license key to the customer is immediately done upon
receipt of the invoice amount to our account.
In
the case of a payment on account of the amount within 10 days to pay the invoice
date. If
the customer defaults on payment, we shall be entitled to charge interest at 5%
above the European Central Bank base interest rate announced p. a.
demand. If
you find a higher default damage was detected, we are entitled to claim it.
Payment
on account is only possible by prior arrangement with the
customer.
§ 5 off,
retention
A
right to offset the customer only if its counterclaims are legally established
or recognized by us in writing. To
exercise a lien, the customer is only entitled, if his claim is based on the
same contract.
§ 6 Retention
of title
The
delivered goods until full payment of all existing claims against the customer
our property. The
goods may before full payment without our approval will be pledged or
transferred by way of security.
§ 7 Liability for
defects
The
customer must verify the proper form of the delivered goods. Complaints
because of obvious defects must be raised immediately. Hidden
defects which are not found after the immediate inspection can only be asserted
against us, if the complaint within 14 days of delivery is received.
The customer then has
the right to a replacement. If
we are not able replacement, the customer is entitled to choose to require a
reduction of the purchase price or the contract. A
further responsibility and liability for damages, especially consequential
damage is excluded. The
above limitation shall not apply if the damage caused by intent or gross
negligence on our part.
§ 8
Limitation
The
statute of limitations for all claims of customers of 24 months from
delivery.
§ 9 Data processing and
data protection
The
customer has been on the scale and the use of data for the execution of his
order personal data informed in detail by us. The
customer agrees to the collection, processing and use of personal data
expressly.
§ 10 Final
provisions
Performance is Nordstemmen. The laws
of the Federal Republic of Germany.
